As we are constantly expanding, we are currently hiring to fill the following position for our office in Jakarta:

 

Legal Manager and Corporate Secretary

(Code: LMCS)

 

 

Yayasan Konservasi Indonesia (KI), the main partner of Conservation International (CI) in Indonesia, envisions a healthy and prosperous Indonesia where biodiversity is valued and preserved. With offices and project sites across Indonesia, we promote a sustainable landscape-seascape approach and establish partnerships with multiple stakeholders across sectors and jurisdictions to deliver lasting impacts for people and nature in Indonesia.

 

This position will support the legal and operations functions in conducting legal, corporate secretarial and administrative work related to KI. As an Indonesian legal entity, KI adheres to the highest compliance requirements under Indonesian law. Duties include:

  • Legal administration and management for liaising internal and external parties.
  • Corporate secretarial administration and management for KI filings and governance related matters.
  • Providing information to the organization to comply with the appropriate law and policy.
  • Ensuring that such general legal services are provided in a timely and effective manner.

 

The position will assist the legal and operations functions in coordinating with external legal counsel, public notaries, reporting to the Ministry of Law and Human Rights and other agencies, managing legal documents/board resolution, conducting translation, ensuring agreements comply with CI's policies, etc. The selected person will work closely and consult with CI GCO/HQ.

 

 

KEY RESPONSIBILITIES

1.      Prepare, draft, and review all types of legal documents: internal and external, commercial, funding and information systems contracts.

2.      Advise and ensure corporate secretarial and governance administration, legal compliance of all divisions and management on relevant legal issues, including on the corporate law, labour law, law regarding legal foundations, conflict resolution aspects of the organization.

3.      Support due diligence and risk assessment process as the basis of organizational decision-making process.

4.      Liaise, prepare appointments, and support negotiation with public notaries, regulators, external counsel, potential partners, public authority, and internal & external stakeholders, etc.

5.      Support KI in any form of conflict resolution.

6.      Conduct translations between Bahasa and English for past, existing, and future agreements as required.

7.      Filling legal documents related to Program and Yayasan operational and maintain regulation database to ensure all KI documents are in compliance with both regulatory and statutory requirements.

8.      Organize Yayasan annual documents, resolutions, and board meeting.

PEOPLE AND RESOURCE MANAGEMENT RESPONSIBILITIES

       Act as a technical or subject matter expert to peers and other staff.

       Responsible for monitoring results and recommending follow-up action. Reviews for understanding and compliance with donor agreements.

 

QUALIFICATIONS

·       Bachelor's degree in law. Advanced degree preferred

·       At least 5 years of working experience in corporate governance issues and corporate secretarial duties

·       Knowledge of statutes, rules and regulations pertaining to NGOs

·       Excellent technical and analytical skills.

·       Fluent in Bahasa and English (written and verbal)

·       Excellent working speed, well-organized, and detail-oriented

·       Excellent in communication, interpersonal and collaboration skill

·       Desired but optional:  Experience in public company or NGO in-house legal is a plus
